Business & Commercial Litigation
Both “business” and “commercial” litigation seem like similar terms—how are they different? While often used interchangeably, the distinction lies primarily in whether the dispute is internal or external to the business.
“Business litigation” typically refers to any internal dispute arising from the ownership or management of a business. These disputes usually involve claims between business partners regarding breaches of the company’s controlling documents, including LLC operating agreements, corporate bylaws or shareholder agreements, or other partnership agreements (whether written or verbal). Other common claims include “business torts” like fraud, misappropriation of funds, or other breaches of fiduciary duties.
“Commercial litigation” generally acts as a catch-all term for all other disputes that arise in the operation of a business, typically for breach of a written or verbal contract for services or sale of goods. This litigation can also arise from agreements like NDAs and non-competes, franchise agreements, loan agreements, and brokerage agreements. Common commercial torts (non-contractual claims) include tortious interference with contract or business expectancy, defamation, fraud and misrepresentation, and unfair or deceptive trade practices.

Contested Wills, Trusts, and Estates
It is an unfortunate reality that, after an elderly loved one passes, many will learn that a sibling or other family member had exploited a trusted relationship with the loved one to their own benefit. This is often learned during the probate process when the bad actor produces a previously unknown will—executed by the loved one shortly before passing—that gives the bad actor a predominant share in the estate. Other times, one learns of the exploitation upon discovering large cash transactions or deeding of real estate to the bad actor while the loved one is still alive (called “inter vivos” transfers).
